LUMIVO TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your access to and use of the Lumivo website, digital platform, and related services (collectively, the “Services”). The Services are operated by Lumivo Global Pte. Ltd. (“Lumivo”, “we”, “us”, or “our”). By accessing or using the Services, creating an account, placing an order, or purchasing or redeeming a Voucher, you agree to be bound by these Terms. Please read these Terms carefully before using the Services. If you do not agree to these Terms, you should not use the Services or purchase any Voucher through Lumivo. 1. ABOUT LUMIVO Lumivo is a digital platform that allows users to discover and purchase selected local deals, experiences, products, services, and digital vouchers offered by participating merchants and service providers (“Merchants”). Lumivo may operate across multiple countries and locations. Unless expressly stated otherwise, Lumivo is not the owner, operator, manufacturer, supplier, or direct provider of the goods or services offered by a Merchant. A Merchant is an independent third party responsible for the goods, services, experiences, facilities, and obligations associated with its offer. Lumivo's role may include facilitating the discovery, purchase, issuance, delivery, and administration of digital Vouchers and related customer services. 2. ELIGIBILITY AND LEGAL CAPACITY You must be at least 18 years old to create an account or make a purchase through the Services. If you are under 18, you may access or use the Services only with the involvement and authorization of a parent or legal guardian where permitted by applicable law, but you may not create an account or make a purchase yourself. 3. ACCOUNTS Certain features of the Services may require you to create an account or provide information such as your name, email address, or other contact information. You are responsible for: · providing accurate and current information; · maintaining the confidentiality of your account credentials; · keeping your account information up to date; and · all activity conducted through your account, to the extent permitted by applicable law. You must notify Lumivo promptly if you believe that your account has been accessed or used without authorization. Lumivo may suspend or restrict an account where reasonably necessary to protect the Services, users, Merchants, or Lumivo's legitimate interests, or where required by applicable law. 4. VOUCHERS AND OFFERS A “Voucher” means a digital voucher, coupon, ticket, entitlement, promotional offer, or similar digital product made available through the Services. Each Voucher may have specific terms relating to: · validity; · redemption; · participating locations; · eligible products or services; · quantity limitations; · booking requirements; · blackout dates; · usage restrictions; · minimum purchase requirements; or · other applicable conditions. These conditions will be displayed on the relevant offer, Voucher, checkout page, or accompanying information where applicable. You are responsible for reviewing the applicable Voucher conditions before completing your purchase. Where a specific Voucher condition conflicts with these Terms, the specific Voucher condition will apply to the extent of the conflict. 5. PRICES, CURRENCY AND PAYMENT Prices displayed through the Services are presented in the currency shown on the applicable page or at checkout. Depending on your location, the Services may display prices in a local currency or in United States dollars (USD). The final price and currency payable for a purchase will be the amount and currency displayed at checkout before you confirm the transaction. Where you choose or are presented with a particular payment currency, your payment provider, card issuer, bank, digital wallet, or other payment service may independently apply currency conversion, foreign exchange rates, international transaction fees, or other charges. Lumivo does not control the exchange rates or fees imposed by your bank, card issuer, payment provider, or other financial institution. Where permitted by applicable law, such third-party charges are your responsibility. 6. TAXES AND ADDITIONAL CHARGES Unless otherwise expressly stated at checkout, the price displayed for a Voucher represents the amount payable to Lumivo for the purchase of that Voucher. The purchase price of a Voucher does not necessarily include taxes, fees, service charges, gratuities, or other charges that may arise when the Voucher is redeemed or when goods or services are provided by a participating Merchant. Where applicable, such taxes, fees, service charges, gratuities, or other charges may be payable separately by the user to the participating Merchant at the time of redemption or provision of the relevant goods or services. The treatment of such charges may vary depending on the Merchant, the location, the goods or services provided, and applicable local laws. For example, where applicable law requires a Merchant to collect sales tax, VAT, GST, SST, service charges, or similar charges when goods or services are provided, the relevant amount may be payable separately at the time of redemption. Where any tax or other mandatory charge is required by applicable law to be included in the price charged by Lumivo at the time of purchase, Lumivo may include such amount in the displayed or payable price as required by law. Lumivo does not provide tax advice. Users are responsible for understanding any additional charges that may apply to their use or redemption of a Voucher. 7. PAYMENT PROCESSING Payments may be processed by third-party payment service providers. Lumivo may not directly receive or store all payment information submitted during a transaction. By making a payment, you authorize Lumivo and/or its applicable payment service providers to process the transaction in accordance with the payment information and instructions provided by you. Payment transactions may be subject to additional terms imposed by the applicable payment provider. Lumivo may refuse, delay, suspend, or cancel a transaction where reasonably necessary for fraud prevention, security, payment-provider requirements, legal compliance, or other legitimate reasons. 8. ORDER ACCEPTANCE Submitting an order through the Services constitutes an offer to purchase the relevant Voucher. Your order is not necessarily accepted until the transaction has been successfully processed and Lumivo or its payment and technology systems have issued an order confirmation or Voucher. Lumivo may decline or cancel an order where: · payment is unsuccessful; · the Voucher is unavailable; · an obvious pricing or listing error has occurred; · fraud or unauthorized activity is suspected; · the transaction violates applicable law; · the transaction is restricted by a payment provider; or · cancellation is otherwise reasonably necessary for security, compliance, or operational reasons. If Lumivo cancels a transaction after payment has been received, the applicable amount will generally be refunded in accordance with the Refund Policy and applicable law. 9. DIGITAL VOUCHER DELIVERY After a successful purchase, Lumivo may deliver the Voucher electronically through methods including: · email; · user account; · order page; · digital wallet; · downloadable or viewable electronic voucher; · QR code; · voucher code; or · another electronic method. The delivery method may vary depending on the Voucher and the technical arrangements applicable to the Merchant. You are responsible for providing an accurate email address and maintaining access to the account or email address associated with your purchase. Lumivo is not responsible for delivery problems caused by inaccurate information supplied by you, blocked emails, spam filters, inaccessible accounts, or other circumstances outside Lumivo's reasonable control. 10. VOUCHER REDEMPTION Vouchers may be redeemed using methods specified for the relevant offer. Depending on the Merchant and the technical system used, redemption may involve: · presenting a QR code; · presenting a digital Voucher; · entering or presenting a Voucher code; · providing an order number; · showing the Voucher on a mobile device; · confirming the Voucher through a Merchant system; or · another reasonable electronic or verification method. The applicable redemption method and any important redemption requirements may be stated on the relevant Voucher or offer page. You must comply with reasonable redemption instructions provided by Lumivo or the Merchant. A Voucher may generally be redeemed only once unless the applicable offer expressly permits multiple uses. Once a Voucher has been successfully redeemed, it may be treated as used and may no longer be eligible for cancellation or refund except where required by applicable law or expressly provided under the applicable Refund Policy. 11. VOUCHER VALIDITY AND EXPIRATION Each Voucher may have a stated validity period or expiration date. You are responsible for using the Voucher within the applicable validity period. Unless otherwise stated in the relevant offer or required by applicable law, an expired Voucher may not be accepted by the Merchant and may not be eligible for refund or replacement. Some Vouchers may be subject to additional booking, reservation, blackout-date, or availability requirements. The applicable conditions will be stated with the relevant offer where reasonably practicable. 12. MERCHANT RESPONSIBILITIES Merchants are independent third parties. The Merchant is responsible for: · providing the goods or services described in the applicable offer; · maintaining appropriate licenses and permissions required for its business; · complying with applicable health, safety, consumer, tax, and other laws; · honoring valid Vouchers in accordance with the applicable offer; · the quality, safety, legality, and suitability of its goods and services; and · any additional charges properly applicable to the Merchant's goods or services. Lumivo does not generally control the day-to-day operations of Merchants. If you experience an issue with a Merchant or redemption, Lumivo may assist with communication or customer support where reasonably practicable, but the Merchant remains responsible for its underlying goods and services to the extent provided by applicable law. 13. MERCHANT AVAILABILITY AND CHANGES Merchant operating hours, availability, menus, services, locations, prices, policies, and other conditions may change from time to time. Lumivo may update offer information when reasonably necessary. A Merchant may occasionally be unable to provide a service because of circumstances such as: · temporary closure; · capacity limitations; · operational issues; · maintenance; · force majeure events; · government restrictions; or · other circumstances outside Lumivo's reasonable control. Where appropriate, Lumivo may provide alternative arrangements, rescheduling, replacement, or refund options in accordance with the applicable offer, Refund Policy, and applicable law. 14. USER RESPONSIBILITIES You agree to use the Services lawfully and responsibly. You must not: · use the Services for fraudulent or unlawful purposes; · provide false or misleading information; · misuse or attempt to manipulate Vouchers; · duplicate, reproduce, resell, or commercially exploit Vouchers without authorization; · interfere with the operation or security of the Services; · attempt to gain unauthorized access to systems or accounts; · use automated means to abuse or overload the Services; · reverse engineer or circumvent technical restrictions except where legally permitted; · use the Services to infringe the rights of others; or · engage in activity that may reasonably harm Lumivo, its users, Merchants, payment providers, or service providers. Lumivo may take reasonable action where it believes that these Terms or applicable laws have been violated. 15. FRAUD, ABUSE AND SECURITY Lumivo may use reasonable measures to detect and prevent: · payment fraud; · Voucher abuse; · unauthorized transactions; · account abuse; · promotional abuse; · identity misuse; · suspicious transactions; and · other activities that may threaten the security or integrity of the Services. Lumivo may suspend, restrict, cancel, or investigate transactions or accounts where reasonably necessary. Where a transaction is cancelled due to suspected fraud or unlawful activity, Lumivo may withhold or delay processing where permitted by applicable law and payment-provider requirements. 16. SANCTIONS AND PROHIBITED ACTIVITIES You must not use the Services for unlawful purposes, including fraud, money laundering, terrorist financing, sanctions evasion, or other prohibited activities. You represent that your use of the Services does not knowingly violate applicable sanctions, export control, anti-money laundering, or other applicable laws. Lumivo may refuse, suspend, or cancel a transaction where we reasonably believe that doing so is necessary to comply with applicable law, sanctions restrictions, payment-provider requirements, fraud-prevention measures, or regulatory requirements. 17. REFUNDS AND CANCELLATIONS Refunds and cancellations are governed by the Lumivo Refund Policy, together with any specific conditions stated for the relevant Voucher. Different Vouchers may have different refund conditions. Where a refund is approved, the refund will generally be processed through the original payment method or another method reasonably determined by the applicable payment provider. Where a payment was made in a currency other than the currency ultimately used by Lumivo for settlement, the amount received by you after a refund may differ from the original amount paid due to exchange-rate movements, conversion costs, or fees imposed by banks, card issuers, payment providers, or other financial institutions. Lumivo does not control exchange rates applied by third parties. Nothing in this section limits any mandatory refund or consumer rights that cannot legally be excluded. 18. INTELLECTUAL PROPERTY All content and materials forming part of the Services, including the Lumivo name, branding, logos, designs, text, graphics, software, interface, databases, and other materials, are owned by or licensed to Lumivo or its licensors unless otherwise stated. You may access and use the Services for personal and lawful purposes. Except where permitted by law or expressly authorized by Lumivo, you may not: · reproduce substantial portions of the Services; · copy or redistribute Lumivo content for commercial purposes; · modify or create derivative works from Lumivo materials; · use Lumivo trademarks without authorization; · scrape or systematically extract content; or · commercially exploit the Services or their content. 19. USER CONTENT AND FEEDBACK If you submit reviews, comments, feedback, photographs, suggestions, or other content to Lumivo (“User Content”), you represent that you have the necessary rights to provide that content. You grant Lumivo a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, adapt, and otherwise use User Content for operating, improving, promoting, and providing the Services, subject to applicable law. Lumivo may remove User Content that it reasonably believes violates these Terms, applicable law, or the rights of others. 20. THIRD-PARTY SERVICES AND LINKS The Services may contain links to or integrations with third-party websites, applications, payment providers, Merchants, and other services. Third-party services may be governed by their own terms and privacy policies. Lumivo does not control third-party services and is not responsible for their independent operation, content, security, privacy practices, or availability, except to the extent liability cannot lawfully be excluded. 21. SERVICE AVAILABILITY Lumivo seeks to keep the Services available and functional but does not guarantee that the Services will always be: · uninterrupted; · error-free; · secure; · available at all times; · compatible with every device or browser; or · free from delays or technical problems. The Services may occasionally be unavailable due to maintenance, upgrades, technical problems, security incidents, third-party failures, or circumstances outside Lumivo's reasonable control. 22. DISCLAIMERS REGARDING MERCHANT GOODS AND SERVICES To the extent permitted by applicable law, Lumivo does not guarantee the quality, safety, legality, suitability, availability, or performance of goods or services provided by Merchants. Any descriptions, photographs, ratings, reviews, or other information relating to a Merchant or its offer are provided for informational and purchasing purposes and may originate from the Merchant or other sources. Lumivo does not generally independently verify every aspect of a Merchant's operations. Nothing in these Terms excludes or limits liability or consumer rights that cannot legally be excluded or limited. 23. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, Lumivo will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive losses arising from or relating to your use of the Services, including loss of profits, business opportunities, data, or goodwill. To the extent permitted by applicable law, Lumivo's aggregate liability arising from a particular purchase will not exceed the amount actually paid by you to Lumivo for the relevant transaction giving rise to the claim. This limitation does not apply to liability that cannot legally be excluded or limited under applicable law, including liability arising from fraud, willful misconduct, or other matters for which limitation is prohibited by law. Nothing in these Terms is intended to exclude or restrict any mandatory consumer guarantee, statutory right, or remedy available to you under applicable law. 24. INDEMNIFICATION To the extent permitted by applicable law, you agree to indemnify and hold harmless Lumivo, its affiliates, officers, directors, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, and reasonable expenses arising from: · your unlawful or unauthorized use of the Services; · your violation of these Terms; · your infringement of another person's rights; or · your fraud, intentional misconduct, or misuse of the Services. This section does not apply to the extent that the relevant claim results from Lumivo's own unlawful conduct or liability that cannot legally be transferred to you. 25. TERMINATION AND SUSPENSION Lumivo may suspend or terminate your access to the Services where reasonably necessary if: · you materially breach these Terms; · fraud or abuse is suspected; · your use creates a security or legal risk; · required by law or a payment provider; · the Services are discontinued; or · another legitimate operational or security reason exists. You may stop using the Services at any time. Termination does not affect rights or obligations that accrued before termination. Provisions that by their nature should continue after termination, including provisions concerning intellectual property, liability, disputes, and applicable legal rights, will survive termination to the extent permitted by law. 26. CHANGES TO THESE TERMS Lumivo may update these Terms from time to time to reflect: · changes to the Services; · changes to our business; · changes in technology; · changes in applicable law; · changes in payment or operational arrangements; or · other legitimate business requirements. When changes are made, Lumivo may publish the updated Terms on the Services and update the Effective Date. Where required by applicable law, we may provide additional notice or obtain consent before material changes take effect. Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law. Changes will not retroactively alter rights that have already accrued unless permitted or required by law. 27. GOVERNING LAW AND DISPUTE RESOLUTION These Terms are governed by the laws of Singapore, except to the extent that mandatory consumer protection or other mandatory laws of your country or jurisdiction apply and cannot legally be excluded. Any dispute arising out of or relating to these Terms or the Services should first be addressed by contacting Lumivo so that the parties have a reasonable opportunity to resolve the matter informally. Subject to applicable mandatory consumer rights and laws, disputes that cannot be resolved informally may be submitted to the courts of Singapore. Nothing in this section prevents a consumer from exercising mandatory rights to bring a claim in another court or jurisdiction where such rights are provided by applicable law. 28. PRIVACY Lumivo's collection and processing of personal information is governed by the Lumivo Privacy Policy. The Privacy Policy explains how Lumivo collects, uses, stores, discloses, and protects personal information and describes applicable privacy rights. By using the Services, you acknowledge that your personal information may be processed in accordance with the Privacy Policy and applicable law. 29. ELECTRONIC COMMUNICATIONS By using the Services or providing an email address, you consent to receiving electronic communications relating to your transactions and use of the Services. These communications may include: · order confirmations; · Voucher delivery; · redemption information; · account notices; · security notifications; · customer support communications; · changes to the Services; and · other transaction or service-related information. Where permitted by applicable law, promotional communications may be managed separately through the available unsubscribe mechanisms. Electronic communications satisfy any legal requirement that communications be provided in writing, to the extent permitted by applicable law. 30. FORCE MAJEURE Lumivo will not be responsible for delay or failure to perform caused by circumstances beyond its reasonable control. Such circumstances may include: · natural disasters; · severe weather; · epidemic or pandemic events; · war; · terrorism; · civil unrest; · government action; · changes in law; · telecommunications failures; · payment network failures; · cybersecurity incidents; · infrastructure failures; · labor disputes; · third-party service failures; or · other events beyond Lumivo's reasonable control. This section does not affect any mandatory rights or remedies available to consumers under applicable law. 31. SEVERABILITY If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable, where legally permitted. If modification is not possible, the affected provision will be severed to the extent necessary. The remaining provisions will continue in full force and effect. 32. NO WAIVER A failure or delay by Lumivo in enforcing any provision of these Terms does not constitute a waiver of that provision or Lumivo's right to enforce it later. Any waiver must be made in accordance with applicable law. 33. ENTIRE AGREEMENT These Terms, together with the applicable Voucher conditions, Refund Policy, Voucher Policy, Privacy Policy, and any other policies expressly incorporated into these Terms, constitute the agreement between you and Lumivo regarding your use of the Services, except where applicable law provides otherwise. If there is a conflict between these Terms and a specific mandatory consumer right, the mandatory legal requirement will prevail. 34. JURISDICTIONAL PRINCIPLE These Terms are intended to operate across multiple jurisdictions. Nothing in these Terms is intended to: · exclude rights that cannot legally be excluded; · restrict mandatory consumer protections; · prevent a user from exercising statutory rights; · exclude mandatory remedies available under applicable law; or · impose contractual obligations to the extent prohibited by applicable law.
